Terms of Service

Welcome to NexCentus. These Terms of Service ("Terms") govern your access to and use of the NexCentus platform. By accessing or using NexCentus, you agree to these Terms. If you are using NexCentus on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

1. About NexCentus

NexCentus is a business platform designed to help organizations manage products, projects, agreements, approvals, teams, and operational processes.

Throughout these Terms:

  • NexCentus, we, our, or us refers to the platform operator.
  • Customer means the organization using NexCentus.
  • User means an individual authorized to access NexCentus under a Customer account.

2. Eligibility

You must be authorized by your organization to use NexCentus.

You are responsible for ensuring that the information provided for your account is accurate and kept up to date.

3. User Accounts

Each user must have their own account. You must not:

  • share your account with others;
  • allow another person to use your credentials;
  • attempt to access accounts that do not belong to you.

You are responsible for maintaining the confidentiality of your login credentials.

If you believe your account has been compromised, you must notify your administrator or NexCentus immediately.

4. Customer Responsibilities

Customers are responsible for:

  • managing their users;
  • assigning appropriate permissions;
  • ensuring data entered into NexCentus is accurate;
  • complying with applicable laws and regulations;
  • protecting confidential information uploaded to the platform.

5. Acceptable Use

You agree not to:

  • use NexCentus for unlawful purposes;
  • attempt to gain unauthorized access;
  • interfere with platform security;
  • upload malicious software or harmful code;
  • attempt to disrupt or degrade the service;
  • misuse APIs or automated access mechanisms;
  • impersonate another individual or organization.

We reserve the right to suspend accounts that violate these Terms.

6. Customer Data

Customer data remains the property of the Customer. NexCentus does not claim ownership of data created or stored by Customers. We process Customer data solely to provide the requested services.

7. Intellectual Property

NexCentus, including its software, design, branding, documentation, and related materials, is protected by intellectual property laws.

Except for Customer data, all intellectual property rights remain the property of NexCentus or its licensors.

These Terms do not transfer ownership of the platform or its intellectual property.

8. Artificial Intelligence Features

Some features may use Artificial Intelligence (AI) to assist users.

AI-generated content is intended to support decision-making, not replace professional judgment.

Customers and Users remain responsible for reviewing and validating AI-generated output before relying on it.

NexCentus does not guarantee the accuracy, completeness, or suitability of AI-generated content.

9. Third-Party Services

NexCentus may integrate with third-party services such as:

  • email providers;
  • authentication providers;
  • cloud infrastructure;
  • AI providers;
  • business integrations.

Your use of those services may also be subject to their own terms and privacy policies.

10. Availability

We aim to provide a reliable and secure platform.

However, NexCentus is provided on an "as available" basis.

We may perform maintenance, updates, or improvements that temporarily affect availability.

We do not guarantee uninterrupted or error-free operation.

11. Security

We implement reasonable technical and organizational measures to protect the platform and Customer data.

Customers are responsible for:

  • protecting their accounts;
  • enabling Multi-Factor Authentication where appropriate;
  • maintaining secure passwords;
  • managing user permissions appropriately.

12. Confidentiality

Both NexCentus and the Customer agree to protect confidential information received during the course of using the platform.

Confidential information must not be disclosed except where:

  • required by law;
  • necessary to provide the service;
  • authorized by the information owner.

13. Fees and Billing

Where the platform is provided under a paid subscription, applicable pricing, billing terms, and payment schedules will be defined in the Customer's commercial agreement or subscription plan.

Failure to pay applicable fees may result in suspension or termination of the service.

14. Suspension and Termination

We may suspend or terminate access where:

  • these Terms are materially breached;
  • the platform is used unlawfully;
  • continued access presents a security risk;
  • required by law.

Customers may discontinue use of NexCentus at any time, subject to any contractual commitments.

15. Data After Termination

Upon termination of the service:

  • Customer access will be removed;
  • Customer data may remain available for a limited period where agreed or required;
  • backups will be retained according to our retention policies before secure deletion.

Customers are encouraged to export their data before termination.

16. Limitation of Liability

To the maximum extent permitted by applicable law, NexCentus shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the platform.

Our total liability shall not exceed the amount paid by the Customer for the service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

17. Indemnification

Customers agree to indemnify NexCentus against claims arising from:

  • unlawful use of the platform;
  • infringement caused by Customer-provided content;
  • violations of these Terms by the Customer or its Users.

18. Changes to the Service

We continuously improve NexCentus.

Features may be added, modified, replaced, or removed over time.

Where practical, significant changes will be communicated in advance.

19. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, Customers will be notified through the platform or by other appropriate means.

Continued use of NexCentus after the effective date of updated Terms constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which the NexCentus operating entity is established, unless otherwise agreed in writing with the Customer.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
